Terms of Service

Effective date: [Effective date to be set] · Last updated: September 2, 2026

These Terms of Service govern your access to and use of WebinarGrid. Please read them carefully — by creating an account or using the service, you agree to them.

1. Agreement to these Terms

These Terms of Service (the "Terms") form a binding agreement between you and WebinarGrid and govern your access to and use of the WebinarGrid website, application, and related services (together, the "Services").

WebinarGrid is the trade name and brand under which the WebinarGrid service is offered and operated by [LEGAL OPERATOR NAME], [REGISTERED BUSINESS ADDRESS]. References to “WebinarGrid,” “we,” “us” and “our” in this document mean that operator.

By creating an account, accessing, or using the Services, you agree to these Terms, our Acceptable Use Policy, our Billing, Cancellation and Refund Policy, and our Privacy Policy, each of which is incorporated into these Terms by reference. If you do not agree, you must not use the Services.

2. Definitions

  • "Customer," "you" or "your" means the person or organization that registers for a WebinarGrid account.
  • "Attendee" means an individual who registers for or attends a webinar that a Customer hosts using the Services.
  • "Panelist" means an individual a Customer invites to participate in a webinar in a presenting or moderating capacity.
  • "Customer Content" means everything you upload to, create in, or transmit through the Services — including video files, registration page content, branding assets, scripted and live chat messages, polls, offers, calls-to-action, and communications sent to Attendees.
  • "Plan" means the subscription tier you select, as described on our pricing page.

3. Eligibility and authority

You must be at least [MINIMUM AGE — 18 ASSUMED] years old to use the Services. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you and that organization.

You may not use the Services if you are barred from doing so under applicable law, or if your account has previously been terminated by us for a breach of these Terms.

4. Account registration and security

To use the Services you must create an account and verify your email address. You agree to provide accurate and complete registration information, including your account country, and to keep it current.

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us promptly at support@webinargrid.com if you become aware of any unauthorized use. You can review your active sessions and sign out of them from your account settings.

You are responsible for anyone you invite to your account or to your webinars, including Panelists, and for their compliance with these Terms and our Acceptable Use Policy.

5. The Services

WebinarGrid is a technology platform. It provides tools that let you host webinars — both live sessions and sessions that play pre-recorded video on a schedule you set — together with registration pages, reminder emails, engagement features such as chat, polls, reactions and calls-to-action, and reporting on how your sessions performed.

We provide the technology. We do not create, author, approve, endorse, verify, guarantee or control the content, claims, offers, representations or communications that you or your Panelists make to your audience. Those are yours, and you are responsible for them.

We aim to keep the Services available, but we do not guarantee uninterrupted or error-free operation. The Services may be unavailable during maintenance, updates, or circumstances outside our reasonable control.

6. Your responsibilities

You are solely responsible for:

  • Your Customer Content, including any video, audio, imagery, text and branding you upload or display
  • The truthfulness, accuracy and legality of every claim, offer, testimonial, credential, result and representation you make to your audience
  • Your communications with Attendees, including emails sent through the Services and messages posted in chat
  • Obtaining all rights, licences, consents and permissions necessary for your Customer Content and for the way you use the Services
  • Your interactions with Attendees, Panelists and any third party
  • Complying with all laws that apply to you, your business, your content and your audience — including consumer protection, advertising, marketing, privacy and data protection laws
  • Holding any licence, registration or authorization that your activity requires

Your use of the Services must comply with our Acceptable Use Policy at all times. A breach of that policy is a breach of these Terms.

7. Customer Content and Attendee data

You retain all ownership of your Customer Content. You grant us a limited, non-exclusive, worldwide, royalty-free licence to host, store, reproduce, transcode, transmit and display your Customer Content solely to the extent necessary to operate and provide the Services to you and to your Attendees. This licence ends when the relevant content is deleted, subject to the retention periods described in our Privacy Policy and Billing Policy.

Where you collect personal information from Attendees through registration pages, chat, polls or other features, you determine what is collected and why. As between you and us, you are the controller of that information and we process it on your behalf and in accordance with our Privacy Policy. You are responsible for providing your Attendees with any notice, and obtaining any consent, that applicable law requires.

We do not routinely review Customer Content. We may, however, remove or restrict access to content where we reasonably believe it breaches these Terms or the Acceptable Use Policy, or where we are required to do so by law.

8. Plans, fees and billing

Paid Plans are offered on a monthly or annual subscription basis. Plan features, limits and prices are shown on our pricing page and within the application at the time you subscribe.

Subscriptions renew automatically at the end of each billing period, at the then-current price for your Plan, using the payment method and payment mandate you authorized, until you cancel. Full details of billing cycles, trials, upgrades, downgrades, failed payments, cancellation and refunds are set out in our Billing, Cancellation and Refund Policy, which forms part of these Terms.

Except where required by law or agreed by us in writing, fees are non-refundable. We may change our prices and Plan features; changes take effect from your next billing period.

9. Taxes

Prices displayed may be exclusive of taxes. Where applicable law requires it, taxes may be added to your subscription charges and shown separately at checkout and on your invoice. Whether tax applies, and at what rate, is determined by the billing country and details you provide.

You are responsible for providing accurate billing and tax information, and for any taxes, duties or levies that apply to you and are not collected by us. If your billing information is inaccurate, you remain responsible for any resulting tax liability.

10. Suspension and termination

You may stop using the Services at any time and may cancel your subscription as described in our Billing, Cancellation and Refund Policy. You may request deletion of your account from within the application.

We may, where legally permitted and where we reasonably consider it appropriate, investigate suspected breaches, restrict or suspend access to all or part of the Services, remove or restrict access to content where technically feasible, terminate accounts, take steps to protect the security and integrity of the Services, and cooperate with legitimate legal requirements.

We may take these steps where we reasonably believe that you have breached these Terms or the Acceptable Use Policy, that your use poses a risk to the Services, to other users or to third parties, that it exposes us to legal liability, or where we are required to act by law. Where circumstances reasonably allow, we will give you notice and an opportunity to remedy the issue first; where the risk is serious or immediate, we may act without prior notice.

We do not monitor every webinar, communication, user or piece of content, and we have no obligation to detect every breach. Any decision not to act in a particular case does not waive our right to act in another.

On termination, your right to use the Services ends immediately. Provisions that by their nature should survive — including ownership, disclaimers, limitation of liability, indemnification, and governing law — will survive.

11. Intellectual property

The Services, including all software, design, text, graphics and the WebinarGrid name and marks, are owned by us or our licensors and are protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the Services in accordance with these Terms — no other rights are granted.

You must not copy, modify, reverse engineer, decompile, resell, sublicense or create derivative works from the Services, or remove any proprietary notices, except to the extent applicable law expressly permits it.

If you believe content on the Services infringes your intellectual property rights, contact us at [LEGAL CONTACT EMAIL] with sufficient detail to identify the content and your rights in it.

12. Third-party services

We use third-party providers to operate the Services, including for payment processing, transactional email, media storage and delivery, and real-time video infrastructure. These providers are described in our Privacy Policy.

You may also choose to connect or link to third-party services of your own. We are not responsible for third-party services, their availability, their terms, or their handling of your information. Your use of them is governed by their own terms.

13. Changes to the Services

We are actively developing WebinarGrid. We may add, change, or discontinue features at any time. Where we discontinue a material feature you rely on, we will make reasonable efforts to give you advance notice.

14. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available," without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.

We do not warrant that the Services will be uninterrupted, secure, error-free, or that any content or data will not be lost or corrupted. We make no warranty regarding the results you may obtain from using the Services, including any registration, attendance, engagement or revenue outcome.

Nothing in these Terms excludes or limits any warranty or right that cannot lawfully be excluded or limited in your jurisdiction.

15. Limitation of liability

To the maximum extent permitted by law, WebinarGrid will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, goodwill, business opportunity, data or content, however caused and under any theory of liability, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the Services will not exceed the greater of the total amount you paid us for the Services in the twelve months immediately preceding the event giving rise to the claim, or [LIABILITY FLOOR AMOUNT — TO BE CONFIRMED].

These limitations apply to the fullest extent permitted by law and do not limit liability that cannot lawfully be limited.

16. Indemnification

You agree to indemnify, defend and hold harmless WebinarGrid and its operator, personnel and suppliers from and against any claims, liabilities, damages, losses and expenses, including reasonable legal fees, arising out of or connected with: your Customer Content; the claims, offers and representations you make to your audience; your use of the Services; your breach of these Terms or the Acceptable Use Policy; your violation of any law; or your infringement of the rights of any third party.

17. Compliance with applicable laws

You must comply with all laws applicable to your use of the Services, including consumer protection and advertising law, anti-spam and electronic communications law, privacy and data protection law, intellectual property law, and any sanctions, export control or licensing requirements that apply to you.

You represent that you are not located in, and are not acting on behalf of any person located in, a country or territory subject to comprehensive sanctions that would prohibit your use of the Services.

18. Privacy

Our Privacy Policy explains what information we collect, why we collect it, who we share it with, and how long we keep it. It also explains the different roles we and you have in relation to Attendee information. Our Cookie Policy explains the cookies and similar technologies we use.

19. Electronic communications

By using the Services you consent to receive communications from us electronically, including service, security, billing and account notices sent to the email address on your account. These are part of the Services and, in most cases, you cannot opt out of them while your account is active. You can manage optional marketing communications separately.

You agree that electronic communications, notices and records satisfy any legal requirement that such communications be in writing.

20. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where the changes are material, provide additional notice such as an in-product notice or an email. Changes take effect when posted unless stated otherwise. Your continued use of the Services after changes take effect means you accept the revised Terms.

21. Governing law and dispute resolution

These Terms and any dispute arising out of or relating to them or the Services are governed by [GOVERNING LAW — TO BE CONFIRMED], without regard to its conflict of law rules.

You and WebinarGrid agree to submit to the exclusive jurisdiction of the courts of [JURISDICTION — CITY / COURTS TO BE CONFIRMED] for the resolution of any dispute, subject to any mandatory right you may have under the law of your country of residence to bring proceedings in your local courts.

Before commencing formal proceedings, we ask that you contact us at [LEGAL CONTACT EMAIL] so that we can try to resolve the matter informally. [DISPUTE RESOLUTION MECHANISM — ARBITRATION OR COURTS — TO BE CONFIRMED].

22. General

These Terms, together with the Acceptable Use Policy, Billing, Cancellation and Refund Policy, Privacy Policy and Cookie Policy, are the entire agreement between you and us regarding the Services.

If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets, including to a company later formed to operate WebinarGrid.
